Terms of Use
These Terms of Use ("Terms", "Agreement") constitute a legally binding agreement between Bunoyo LLC ("Bunoyo", "Company", "we", "us", or "our") and the corporate entity, commercial organization, or individual ("Client", "you", or "your") accessing bunoyo.com or contracting for managed information technology (IT) services, network monitoring, software deployment, cloud administration, or technical consulting.
By accessing our digital interfaces, submitting consultation requests, or authorizing Bunoyo to perform technology administration, you confirm that you have read, understood, and agreed to be legally bound by these Terms.
1. Scope and Precedence of Service Agreements
These Terms set forth the baseline terms governing interactions between Bunoyo and our clients. In the event that Client and Bunoyo execute a separate written Master Services Agreement (MSA), Statement of Work (SOW), or Service Level Agreement (SLA), the specific operational terms and service tiers outlined in that executed instrument shall control and supersede any conflicting general provision contained herein.
2. Provision and Delivery of IT Services
Bunoyo provides commercial technology management, maintenance, procurement, and deployment services as agreed upon in applicable service scopes:
2.1 Managed Network and Systems Administration
Bunoyo deploys enterprise remote monitoring agents to oversee system health, patch critical operating system vulnerabilities, verify endpoint security controls, and inspect network stability. Maintenance windows are scheduled during off-peak hours where practical to prevent business disruption.
2.2 Hardware and Cloud Provisioning
Bunoyo procures, pre-configures, and provisions hardware and cloud subscriptions (including Lenovo commercial hardware, Microsoft 365 enterprise tenants, and Amazon Web Services infrastructure) pursuant to Client specifications.
2.3 Turnkey Startup and Onboarding Services
For newly established businesses, Bunoyo provides turnkey setup, including domain portfolio acquisition, DNS record configuration, business email administration, cloud document repository structuring, and VoIP phone network routing.
3. Service Levels and Response Commitments
Bunoyo operates on transparent, commercial-grade support standards:
- Average Initial Response Target: Bunoyo targets an average initial human response time in under 5 minutes for new inquiries and active service desk tickets received during established operational coverage hours;
- Critical Operational Standby: For commercial clients with strict deadline windows (such as accounting practices during peak tax filing deadlines or general contractors submitting competitive bids), priority phone standby is maintained to resolve connectivity or workstation failure without delay;
- Scheduled Maintenance Windows: Proactive system reboots, major infrastructure patch rollouts, and disruptive migrations are scheduled in advance with Client authorization.
4. Client Obligations and Administrative Authority
To ensure timely resolution of technical issues and preserve perimeter security, Client agrees to:
- Designate one or more authorized administrative points of contact who possess legal authority to approve access elevations, licensing purchases, and network topology modifications;
- Promptly notify Bunoyo in writing regarding employee onboarding or terminations to facilitate immediate access provisioning or credential revocation;
- Maintain physical security over on-premise networking equipment, firewall appliances, and server hardware;
- Refrain from authorizing unvetted third-party contractors to modify network routing, administrative credentials, or security configurations without coordinating with Bunoyo.
5. Billing, Invoicing, and Price Match Commitment
Bunoyo structures financial terms to be fair, predictable, and adaptable:
- Invoicing Terms: Standard managed services are billed on a flexible monthly basis, while project milestones, custom development, or initial onboarding setups may be billed weekly or on a one-time project fee basis as agreed in writing;
- Absence of Hostile Auto-Renewals: Bunoyo does not utilize predatory multi-year lock-in clauses with punitive liquidated damages. Recurring services may be altered or canceled with thirty (30) days prior written notice;
- Price Match Commitment: Bunoyo commits to reviewing legitimate, comparable written quotes or existing invoices from competitor IT firms to match or beat pricing while preserving enterprise service standards;
- Scope Authorization: Out-of-scope work requiring additional hardware purchases or third-party licensing must be approved in writing by Client prior to invoice issuance.
6. Equipment Procurement and Vendor Pass-Through Warranties
When Bunoyo procures workstations, laptops, networking appliances, or servers on behalf of Client:
- Title to physical equipment passes completely to Client upon satisfaction of applicable hardware invoices;
- Manufacturer warranties (such as Lenovo Premier Support or manufacturer hardware warranties) pass directly to Client. Bunoyo acts as Client's technical representative to initiate warranty claims, coordinate parts replacement, and process RMAs;
- Bunoyo disclaims independent manufacturer warranty liabilities beyond vendor guarantees, but warrants that configuration and installation are performed according to recognized engineering standards.
7. Defense and Government Contracting Provisions
For clients operating within defense, aerospace, or federal supply chains:
Bunoyo maintains active registration in the System for Award Management (SAM.gov) and delivers technical controls aligned with Cybersecurity Maturity Model Certification (CMMC) Level 1 and NIST SP 800-171 standards. Both parties agree that Federal Contract Information (FCI) and Controlled Unclassified Information (CUI) shall be processed, stored, and transmitted strictly within approved, encrypted, and access-restricted environments.
8. Data Ownership and System Documentation
Client Proprietary Data: Client retains sole, exclusive ownership and all intellectual property rights in and to all business documents, databases, customer records, and operational communications residing on client devices or managed systems.
Network and Configuration Documentation: All network architecture diagrams, IP allocation tables, user credential portfolios, and operational standard operating procedures developed specifically for Client by Bunoyo shall belong to Client, with a perpetual, royalty-free license granted for internal operational use.
9. Termination and Seamless Transition Commitment
Upon settlement of outstanding invoices, Bunoyo will securely export and deliver all documentation, access keys, and configuration portfolios to Client's designated successor administrator within ten (10) business days.
10. Warranties and Limitation of Liability
Bunoyo performs services utilizing skilled personnel adhering to industry-standard cybersecurity and engineering practices. However, Client acknowledges that no information technology infrastructure, firewall, or endpoint monitoring solution is entirely immune from sophisticated cyberattacks, zero-day vulnerabilities, third-party software bugs, or telecommunications provider outages.
To the maximum extent permitted by applicable law:
- Neither party shall be liable to the other for indirect, incidental, special, punitive, or consequential damages (including lost revenue, lost profits, or business interruption);
- Bunoyo's aggregate financial liability arising out of or related to this Agreement or contracted services shall not exceed the total service fees paid by Client to Bunoyo during the three (3) months immediately preceding the event giving rise to liability.
11. Governing Law, Jurisdiction, and Severability
These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to principles of conflicts of law. Client consents to the exclusive personal jurisdiction and venue of the state courts located in Calvert County, Maryland.
If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
